Agreement Overview
This agreement (“Agreement”) is entered into by and between Sequence (“the Company”) and the Influencer/Affiliate Partner (“Partner”). The purpose of this Agreement is to outline the terms under which the Partner will promote Sequence’s services and products, ensuring compliance with all applicable laws, regulations, and brand standards, including those mandated by Thread Bank.
Approved Content Only:
All promotional materials — including but not limited to posts, videos, captions, and scripts — must be submitted to Sequence and approved by both Sequence and Thread Bank prior to publication. The Company reserves the right to reject or require modifications to any content that does not meet its brand standards or compliance obligations.
Compliance with Advertising Laws:
The Partner agrees to comply with:
Accuracy and Transparency:
All claims about Sequence’s services must be factual, evidence-based, and approved by Sequence. Misrepresentation or exaggeration is strictly prohibited.
Transparency:
The relationship between the Partner and Sequence (e.g., paid partnership or affiliate) must be clearly disclosed in every piece of promotional content.
Format and Placement:
Disclosures must be:
Payment details, including flat fees, commission structures, timelines, and eligibility, are governed by a separate agreement between Sequence and the Partner.
Details regarding content ownership, licensing, and usage rights will be outlined in a separate agreement between Sequence and the Partner.
Ongoing Review:
Sequence will monitor all published content to ensure ongoing compliance. The Partner must remove or edit content if notified of a compliance issue by Sequence or Thread Bank.
Audit Cooperation:
Partner agrees to fully cooperate with any audit or compliance review initiated by Sequence or Thread Bank.
Non-Compliance:
Failure to comply may result in suspension or immediate termination of the partnership.
The Partner agrees to maintain confidentiality regarding Sequence’s internal strategies, financial products, and campaigns unless expressly authorized in writing.
Either party may terminate this Agreement with 30 days’ written notice. Sequence reserves the right to terminate the Agreement immediately in cases of non-compliance, unethical behavior, or breach of terms.
Indemnification:
Partner agrees to indemnify and hold Sequence harmless from any claims, damages, or liabilities arising from non-compliance with this Agreement or applicable laws.
